Selected Transaction Experience:
1) $744mm acquisition of an Annuity Product Developer and Wholesaler (LBO)
• Analyzed the acquisition’s impact on managements CAP Table through an accretion / dilution model incorporating potential synergies and illustrated the pro forma company’s financials through contribution analysis.
• Helped negotiate operating covenants and Reps and Warranty Insurance to ensure operations and margins remained largely intact post-acquisition.
• Worked with a consulting firm to understand and underwrite carrier concentration risk on $5.1bn of premium within the context of the FIA & RILA market.
• Worked with consulting firm and incumbent lenders to satisfy borrowing covenants.
2) $481mm acquisition of a Wealth Management Firm (LBO)
• Worked directly with the acquisition target and internal & external advisors to analyze and negotiate capital structure alternatives to complete an accretive LBO on a $13bn AUM RIA/TAMP.
• Built bottom-up segmentation analysis to bifurcate the company’s RIA/TAMP business with downline acquisitions and platform users, determined that run-rate synergies supported planned business thrusts.
• Negotiating ongoing tuck-in investments totaling $2bn in AUM.
• Performed cash-flow analysis to understand if an LBO was supported at negotiated price, and how product cross-selling with technological implementation would maximize post-acquisition profitability given the correct business strategy.
3) $30mm platform investment in an auto financing company with M&A add-ons (LBO)
• Negotiated add-on investments produced from an LBO acquisition of an auto finance company which makes subprime auto loans to low-income individuals with strong employment records.
• Financially modeled competitive landscape to understand macro-trends that affect the current portfolio of loans as well as any M&A in the deal pipeline.
In addition to his transactional achievements, he has led two companies to successful exits. Expert has a deep understanding of market dynamics, enabling him to guide organizations through challenging phases, ensuring smooth transitions and sustainable growth.
